ADVERTISING DIVISION BYLAWS

ARTICLE I
ORGANIZATION
SECTION 1. This organization is a division of the Association for Education in Journalism and Mass Communication (AEJMC). As such, it is subject to all of the regulations, policies, and responsibilities of the parent AEJMC for its various divisions.
ARTICLE II
PURPOSES
SECTION 1. The purposes of this division are:
- To encourage the study of advertising as an integral part of communication and marketing systems.
- To encourage the study of advertising as it relates to other institutions in society.
- To facilitate its members’ endeavors in achieving excellence in advertising teaching and scholarship.
- To provide liaison between its members and scholars in other areas who are interested in advertising and its role in society.
SECTION 2. To achieve these purposes, the division may:
- Sponsor programs at the annual conventions of AEJMC and of other scholarly organizations.
- Encourage dialog within its membership, between its members and other divisions and interest groups of AEJMC, and between its members and other scholarly organizations concerning the role of advertising in society and with industry organizations that employ our students.
- Publish papers, monographs, or other materials appropriate to its purposes, including but not limited to the Journal of Advertising Education.
- Cooperate with other AEJMC division in the sponsorship of convention programs, publications, etc., which contribute to a fuller understanding of advertising.
ARTICLE III
MEMBERSHIP AND DUES
- Membership is open to all interested individuals who are AEJMC members.
- Dues are $25 per year and may be set at a different level by action of AEJMC or by a two-thirds vote of the division members present and voting at its annual members’ meeting.
ARTICLE IV
OFFICERS
SECTION 1. The officers of the division shall be a division head, program chairperson, secretary and treasurer. There shall also be an executive committee.
SECTION 2. To provide continuity in the administration of the division, the executive committee shall consist of nine division members, which will include the division head; vice head/program chairperson; division secretary; five elected at-large executive committee members; and an ex-officio graduate student representative who are members in good standing of the division.
The division head shall be the person who served as the vice head/program chairperson during the previous year, and shall serve a one-year term.
The vice head/program chairperson shall come from the membership of the executive committee, and shall be elected to a one-year term by the division members present and voting at the division’s annual business meeting. That person shall become the division head the following year.
The division secretary shall come from the membership of the executive committee, and shall be elected by the division members present and voting at the division’s annual business meeting.
The at-large executive committee members will be elected to three-year terms by members present and voting at the annual members’ meeting of the division. These members will be responsible to serve as the research chair, teaching chair, student paper chair, special topics chair, and professional freedom & responsibilities chair.
Following the close of a convention, if the division head should be unable to serve out the elected term of office, a new division head shall be elected by a mail or electronic ballot of the division’s membership from a slate of nominations prepared by the executive committee. The person receiving a plurality of votes shall become the division head. The results of the voting shall be made known to the division membership via the first issue of the division newsletter following the mail ballot.
If the program chairperson should be unable to serve out the elected term of office, the division head shall appoint a program chairperson from among the members of the executive committee with the advice and consent of its members.
If the secretary should be unable to serve out the elected term of office, the position shall be filled by mail or electronic ballot of the division’s membership from a slate of nominations prepared by the executive committee, which may include members of the executive committee as well as any member of the division. The person receiving a plurality of votes shall become a member of the executive committee.
SECTION 3. The division head shall be the principal officer of the division and shall in general supervise its affairs. The division head shall plan and preside at the annual business meeting. With the help of the other officers the division head shall direct any special programs or projects undertaken by the division. The division head has the authority to appoint special committees. With the counter-signature of the treasurer, the division head has the authority to spend division funds for division projects.
SECTION 4. The vice head/program chairperson shall perform the duties of division head in the absence of the latter, but the principal function of this office is to direct and coordinate the division’s convention program. The program chairperson shall also perform other duties as the division head may delegate.
SECTION 5. The secretary shall be responsible for taking the minutes of the annual meeting and disseminating them to all members of the division. The secretary will serve as the coordinator of division member communications. The secretary shall also perform other duties as the division head may delegate.
SECTION 6. The treasurer shall always be the treasurer of AEJMC, whether or not the treasurer is a member to the division. It shall be the responsibility of the treasurer to provide financial accounting to the division and to disburse division funds upon authorization from the division head.
SECTION 7. The executive committee shall provide advice and counsel to the division head and program chairperson regarding annual convention program content and business meetings as well as executive elections as prescribed in Article V. The executive committee shall also perform other duties as the division head may delegate, such as supervising the paper competition, i.e., teaching, student papers, special topics, and professional freedom & responsibilities.
ARTICLE V
MEETINGS
SECTION 1. The annual business meeting of the division shall be held in conjunction with and during the annual convention of AEJMC.
SECTION 2. A quorum at the annual business meeting shall consist of the division members present and voting.
SECTION 3. A division member unable to attend the annual business meeting may give a proxy in writing to another division member. The proxy shall be deposited with the secretary prior to or at the opening of the annual business meeting.
SECTION 4. Any business that requires action by the division that cannot await the annual business meeting shall be handled by mail or electronic ballot to the division membership upon submission by the division head with the advice and consent of the executive committee. Such actions taken shall be binding on the division of two-thirds of more of those casting ballots favor the issue before them.
ARTICLE VI
AMENDMENTS
SECTION 1. The bylaws may be amended by a vote of two-thirds of those present at the annual business meeting or by a vote of two-third of division members as a result of electronic voting.
SECTION 2. Proposed amendments must be distributed in writing to the division membership at least 30 days prior to the meeting at which they are to be voted on.
